A LEGAL DISCLAIMER

These Terms and Conditions govern all services provided by ValBrid Engineering Pvt. Ltd. ValBrid to its clients and are based on global engineering and automation standards, including applicable ISO and DIN norms. By engaging our services, you agree to the following terms:

Scope of Work

All services provided will be based on a mutually agreed scope of work, proposal, or purchase order. Changes to scope must be documented and approved in writing by both parties.

Standards and Compliance

ValBrid commits to delivering services in accordance with internationally recognized standards, including:

ISO 9001: Quality Management
DIN EN 60204-1: Electrical Equipment of Machines
IEC & ANSI automation and control system guidelines

The Client is responsible for providing complete and accurate technical and operational requirements at the project’s outset.

Project Timelines

Timelines provided are estimations unless otherwise stated as contractually binding. Delays caused by force majeure, client delays, or third-party dependencies are not the responsibility of ValBrid.

Fees and Payment Terms

Payments are due within 15 days of invoice unless agreed otherwise.
Late payments incur a charge of 1.5% per month or the maximum allowed by law.
Prices exclude applicable taxes, duties, or levies unless specified

Intellectual Property

All custom solutions, designs, or documentation provided by ValBrid remain the intellectual property of ValBrid unless explicitly transferred in writing. The Client receives a non-transferable, non-exclusive license to use project deliverables for internal purposes.

Confidentiality

Both parties agree to maintain the confidentiality of technical, commercial, and strategic information exchanged during the engagement. This obligation remains in effect for 5 years beyond the termination of the agreement.

Warranty and Liability

ValBrid warrants workmanship and material quality for a period of 12 months from the date of delivery or commissioning, whichever is earlier.
Warranty covers only defects in ValBrid-supplied components and services.
ValBrid is not liable for consequential damages, business losses, or client-side failures due to misuse or third-party modifications.

Force Majeure

ValBrid shall not be held liable for failure to perform obligations due to events beyond its control, including but not limited to natural disasters, pandemics, supplier failures, or government restrictions.

Use of Name and Logo

Unless explicitly restricted in writing, ValBrid reserves the right to reference completed projects and use the Client’s name and logo in its portfolio or marketing materials.
